SUMMARY:Mergers & Acquisitions in Government Contracting: Novations and Recertification
DESCRIPTION:Mergers and acquisitions that involve small business government contractors carry many regulatory and industry-specific considerations that can impact all aspects of the deal. One important element is effectively transferring existing contracts to maintain the target company’s value. Two steps that can cause uncertainty in this process are novation and recertification. Novation is required for the transfer or assignment of a federal government contract from one entity to another. And\, once the deal has gone through\, a target company that is small or of a certain socio-economic status must typically recertify their size or socio-economic status within 30 days. \nJoin PilieroMazza attorneys to learn about key considerations for a successful novation\, tips for understanding recertification requirements after closing\, and how recertification may impact any contracts.

SUMMARY:Partnering for Success On Federal Projects: Teaming\, Joint Ventures\, and the Mentor Protégé Programs
DESCRIPTION:f you are in federal contracting\, you have almost certainly heard of joint venturing and\, relatedly\, the Mentor-Protégé programs. When used correctly\, these strategies can greatly increase both large and small businesses’ contract/subcontract opportunities\, and give revenue a boost. \nWhen used incorrectly\, however\, it can have serious negative consequences for the businesses involved. Indeed\, it can be harder than it seems to use these strategies correctly\, without running afoul of the small business regulations. If you want to succeed\, you have to understand the complex web of rules and regulations in place\, and learn how to identify and avoid common pitfalls. In this webinar\, experienced government contracting attorney Maria Panichelli teaches attendees how to do just that. Maria starts off with a primer on joint venture affiliation\, and how the mentor protégé program became a de facto prerequisite to many joint ventures. Maria then provides a detailed overview of the SBA and DoD (DoW) mentor protégé program\, including recent changes in the regulations\, and common contractor mistakes. Finally\, she turns to the requirements for mentor-protégé joint ventures\, including JV agreement obligations\, work-share and protégé performance percentages\, as well as ongoing reporting requirements.

SUMMARY:Data Readiness\, Governance & Trusted AI
DESCRIPTION:As agencies move to implement AI throughout their organizations\, most are finding their AI efforts disrupted by fragmented\, low-quality\, or inaccessible data. This is a problem government shares with the private sector – a recent survey found that 79% of respondents said their AI initiatives are being hindered by limited access to data across environments. \nThese are not new problems for the government. There are still issues with data fragmentation and silos\, poor data quality\, complexities in applying governance and security requirements\, and technical debt – legacy systems aren’t designed for modern analytics needs. And. of course\, the pace of data generation continues to accelerate\, adding to the pressure to clean and restructure massive numbers of datasets. That recent survey found that 60% of AI projects may be abandoned due to poor data readiness. \nLearning Objectives: \n\n\nOutline the particular challenges in data readiness faced by your agency\n\n\nDelineate the steps to address those challenges\, including prioritization and resource allocation\n\n\nEstablish metrics to measure improvements in data quality so your agency datasets can be used by AI tools to produce trusted solutions

SUMMARY:Cyber Defense in the AI Era
DESCRIPTION:There is widespread recognition in federal agencies that they face increasingly sophisticated AI-driven threats. At the same time\, agencies must also contend with evolving compliance mandates and shrinking budgets. \nTo simultaneously protect missions\, ensure compliance\, and align with federal efficiency and budget goals\, agencies need to adopt modern\, compliance-aligned endpoint detection and response (EDR) security strategies that enable full\, real-time endpoint visibility while reducing false positives and preventing cost creep.

But with rapid transformation comes turbulence. While the newly branded Warfighting Acquisition System promises contract opportunities\, it also introduces uncertainty. \nDon’t miss PilieroMazza’s Lauren Brier as she addresses why defense contractors should stay informed and how understanding the DOW’s plans to fast-track contract delivery will be key to thriving in this evolving landscape. \nLearning objectives include: \n\nunderstanding the incentives and penalties that may come with new DOW contracts;\nwhat new role contracting officers will play in obtaining DOW contracts and the potential implications for contractors; and\nthe importance of knowing non-FAR-based instruments.
