The Corporate Transparency Act’s filing requirements already apply to domestic companies created in 2024, with a looming January 1, 2025 deadline for every company formed before 2024. The vast majority of companies have not yet made their filings, and so we anticipate a huge, last minute filing rush. Meanwhile, a case now on appeal to the 11th Circuit (after the district court held the CTA unconstitutional) and other pending cases threaten to upset the whole CTA filing regime.
